Restrictions

• Selling, sublicensing, and/or otherwise commercializing any Website material;
• Using this Website in any way that is or may be damaging to this Website;
• Using this Website in any way that impacts user access to this Website;
• Using this Website contrary to applicable laws and regulations;
• Engaging in any data mining, data harvesting, data extracting, or any other similar activity in relation to this Website;
• Creating multiple accounts to bypass the Bite Code one-day limit & other features.

Breaking these restrictions can lead to an account suspension and/or deletion.

This Website is provided "as is," with all faults, and BiteBudy makes no express or implied representations or warranties of any kind related to this Website or the materials contained on this Website.

Limitation of Liability

In no event shall BiteBudy, nor any of its officers, directors, and employees, be held liable for anything arising out of or in any way connected with your use of this Website, whether such liability is under contract. BiteBudy, including its officers, directors, and employees, shall not be held liable for any indirect, consequential, or special liability arising out of or in any way related to your use of this Website.

Indemnification

You hereby indemnify to the fullest extent BiteBudy from and against any and/or all liabilities, costs, demands, causes of action, damages, and expenses arising in any way related to your breach of any of the provisions of these Terms.

Severability

If any provision of these Terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.

Variation of Terms

BiteBudy is permitted to revise these Terms at any time as it sees fit, and by using this Website you are expected to review these Terms on a regular basis.

Assignment

BiteBudy is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification. However, you are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

Entire Agreement

These Terms constitute the entire agreement between BiteBudy and you in relation to your use of this Website and supersede all prior agreements and understandings.

Governing Law & Jurisdiction

These Terms will be governed by and interpreted in accordance with the laws of the State of California, and you submit to the non-exclusive jurisdiction of the state and federal courts located in California for the resolution of any disputes.

Partner Responsibilities & Accountability

Upon creating a Partner account and listing a restaurant on our website, you must take responsibility for the following actions:

• Accept and claim all bite codes belonging to your location;
• Apply the displayed discount/reward when the bite code is scanned;
• Provide the required information to process the bite code, such as the "subtotal" and ensure that this information is accurate;
• Each Partner is responsible for their restaurant. BiteBudy is not liable for partner errors.
• These responsibilities account all Bite Codes , including Bite Discounts , Bite Rewards, and Bite Points.

Violation of any of these responsibilities can lead to a strike. Accumulating five or more strikes can result in an investigation.

Bite Pass Agreement with Partners

By creating a Partner account, you authorize Bitebudy to offer enhanced benefits to users with an active "Bite Pass" subscription. These benefits include a 1.2x multiplier across all Bite Rewards categories, such as Points per Dollar, Join Bonus, and Points Limit per Transaction.

Partner Strikes

A Partner can receive a strike for violating any of the responsibilities stated in "Partner Responsibilities & Accountability." If a Partner accumulates five or more strikes, BiteBudy will launch an investigation to determine if the Partner's restaurant is suitable for being on BiteBudy's website. This investigation can lead to the deletion of the Partner's restaurant or a temporary suspension.

Partner Agreement

By registering for a Partner account with BiteBudy, you hereby grant authorization for BiteBudy to promote exclusive discounts and rewards to its user base on your behalf. You acknowledge and agree that all discounts and reward programs provided through our platform are subject to BiteBudy's terms and conditions and may be offered at BiteBudy's sole discretion. This agreement is made to enhance mutual benefit and foster a collaborative relationship between your business and our platform.

Subscriptions & Memberships

Effective as of 07/16/2024, BiteBudy uses a third-party platform to collect account billing information for purchasing subscriptions or memberships. BiteBudy does not store any account billing information in its database and, therefore, does not assume any responsibility or liability for the misuse or unauthorized access of such information by the third-party platform.

Account Data and Management

Effective as of 07/16/2024, By creating an account with BiteBudy, you grant BiteBudy the authority to retain and manage your account data. BiteBudy reserves the right to use this data in accordance with its privacy policy and applicable laws.

Ownership and Intellectual Property Rights

All content, trademarks, logos, and services provided on this website are the exclusive property of BiteBudy LLC. This includes but is not limited to text, images, software, and designs. Unauthorized use, reproduction, or distribution of any BiteBudy LLC property is strictly prohibited.

By using our services, you acknowledge that BiteBudy LLC retains full ownership of all rights, title, and interest in its intellectual property. Any violations of these rights may result in legal action.
